These Terms of Service ("Terms") govern access to and use of the websites, software, artificial-intelligence tools, workflow automation, communications features, and related services provided by Vulcan Systems ("Vulcan Systems," "we," "us," or "our") (collectively, the "Services").
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Services.
You must be legally capable of entering into these Terms and use the Services only for lawful business purposes. You must provide accurate account information, maintain the confidentiality of credentials, use reasonable safeguards for your account, and promptly notify us of suspected unauthorized access.
Organization administrators control workspace membership, roles, permissions, connected systems, and access to organization data. You are responsible for actions taken through your account and for ensuring that authorized users comply with these Terms.
The Services help organizations analyze information, coordinate workflows, generate content, communicate, and interact with connected business systems. Features may be introduced, changed, suspended, or discontinued over time. We may provide previews, beta features, or experimental capabilities that are offered as-is and may change without notice.
Additional order forms, statements of work, product-specific terms, or written agreements may apply. If they conflict with these Terms, the more specific agreement controls for the applicable subject matter.
As between you and Vulcan Systems, you retain your rights in information, content, files, and materials you submit or authorize the Services to access ("Customer Data"). You grant us a limited right to host, copy, process, transmit, display, and otherwise use Customer Data as necessary to provide, secure, support, and improve the Services and to comply with law.
You represent and warrant that:
AI features can produce inaccurate, incomplete, or inappropriate results. Outputs may not be unique and may resemble content produced for others. You are responsible for reviewing outputs, confirming source information, and deciding whether and how to use them.
Do not rely on an AI output as a substitute for professional advice or human review, or use it to make legal, medical, financial, employment, credit, housing, insurance, or similarly consequential decisions unless you have implemented appropriate review, validation, and safeguards. You remain responsible for actions authorized through the Services, including communications, assignments, drafts, and changes made in connected systems.
The Services may connect with third-party products and platforms. Your use of a connected service is governed by that provider's terms and privacy practices. We do not control and are not responsible for third-party services, their availability, or changes they make. You authorize us to exchange information with connected services as needed to carry out your instructions.
Program name: Vulcan Systems Luna. The program provides an admin-only, two-way text interface for operational business information and actions, such as customer-task summaries, customer context, employee-assignment information, and requested assignment changes.
You may not use the Services to:
We may investigate suspected misuse and suspend or restrict access when reasonably necessary to protect the Services, users, third parties, or the public.
The Services, including their software, design, branding, documentation, and other components, are owned by Vulcan Systems or its licensors and protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes.
If you provide suggestions or feedback, you grant us the right to use them without restriction or compensation, provided we do not identify you publicly as the source without permission.
Fees, billing terms, and usage limits, if any, are stated in the applicable order or subscription terms. Unless otherwise stated, fees are non-refundable except where required by law. You are responsible for applicable taxes other than taxes based on our net income.
You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to pay amounts due, or use the Services in a manner that may harm us, our providers, users, or third parties. Where reasonable, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and dispute terms.
To the maximum extent permitted by law, the Services are provided "as is" and "as available." Vulcan Systems disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that AI outputs, connected-service data, recommendations, or automated actions will be accurate, complete, or suitable for your needs.
To the maximum extent permitted by law, Vulcan Systems and its affiliates, personnel, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising from or related to the Services, even if advised of the possibility. Our aggregate liability arising from or related to the Services will not exceed the greater of the amount you paid us for the Services during the twelve months before the event giving rise to the claim or one hundred U.S. dollars. These limitations apply only to the extent permitted by law.
To the extent permitted by law, you will defend, indemnify, and hold harmless Vulcan Systems and its affiliates, personnel, and suppliers from claims, damages, losses, liabilities, and reasonable expenses arising from your Customer Data, your instructions or actions through the Services, your violation of these Terms or law, or your infringement of another person's rights.
Before filing a formal claim, each party agrees to make a good-faith effort to resolve the dispute informally by providing written notice and allowing 30 days for a response. These Terms are governed by the laws applicable where Vulcan Systems maintains its principal place of business, without regard to conflict-of-law rules, except where applicable law requires otherwise. Courts with jurisdiction over that location will have exclusive jurisdiction, subject to any non-waivable rights you may have under applicable law.
These Terms and any applicable written agreement are the entire agreement concerning the Services. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, acquisition, or transfer of the Services. Neither party is liable for delay caused by events beyond its reasonable control.
We may update these Terms from time to time by posting the revised version and changing the date above. Material changes may be communicated through the Services or another appropriate channel. Continued use after the effective date constitutes acceptance of the revised Terms to the extent permitted by law.
